Uw bedrijf te groot En te klein?
Dat klinkt niet aardig maar is toch een bedrijfssituatie die veel voorkomt. Groeistuipen Elk groeiend bedrijf heeft groeistuipen, de eerste stappen naar personeel, vervolgens wordt de ondernemer (vaak tegen zijn zin) manager in plaats van ondernemer. Wat verder in de groeicurve ontstaat er een midden management laag…en nog steeds staat de ondernemer er alleen voor. Natuurlijk is er dan een accountant, advocaat en wellicht een consultant die helpt bij specifieke problemen. Maar eigenlijk heeft de ondernemer dan een CFO, een bedrijfsjurist, CIO of CTO nodig om de hierop volgende fase te bereiken. Of terwijl een zeer ervaren directie team; nodig om de volgende fase te bereiken. Om de financiering te herstructureren, om de aansprakelijkheden te beperken, om de groei te begeleiden, om internationaal te gaan… Maar eigenlijk is er nog geen full time werk voor…nog maar niet te spreken over de kosten. Alhoewel de kosten voor de baat uitgaan natuurlijk, is er een oplossing! Een parttime directie team (of een gedeelte hiervan) die u op vaste tijden (bv tijdens management vergaderingen, besprekingen en “gewone” kantoordagen kan bijstaan, gewoon meewerkt en altijd is te bereiken. Hij of zij kan u helpen de volgende fase te bereiken! U huurt een of meer vaste maar parttime directieleden in. Ervaren in uw tak van sport, een zee van ervaring, een groot netwerk en achterban. En ze acteren als uw directie, namens uw bedrijf, onder uw vlag. Via uw telefoonnummer, uw email adressen. Ze groeien met u mee, totdat u full time deze plekken kunt invullen. Wie zijn deze parttimers? Ervaren rotten, tientallen jaren ervaring en nog niet uitgespeeld. Ze zoeken geen carrière meer maar willen nog graag jaren aan de bak! Hebben alles al eens gezien of gedaan of kennen wel iemand in hun netwerk die dat heeft gedaan die daar kan helpen. Interimmers? Nee, er is een groot verschil! Een interim manager komt een kortere periode fulltime een probleem op lossen en vertrekt dan weer. Een parttime directie lid is gewoon een directielid, maar is alleen niet 40 uur aanwezig. Een vaste waarde voor zolang u het nodig heeft en wilt. Groeiend indien noodzakelijk in tijd net als uw bedrijf groeit… De kosten. Duur? Dat kan beslist wel eens meevallen. Op dit moment heeft u waarschijnlijk wel hoge accountantskosten, hoge advocaatkosten, hoge IT kosten enz. Die kunt u behoorlijk naar beneden brengen en dit zal al meer dan gedeeltelijk de kosten dragen! Voorts zal de kennis en het netwerk van uw directieleden de winst ongetwijfeld vergroten. Onze ervaring, alhoewel dit per bedrijf verschilt, is dat het feitelijk niets kost. Maar u wel eindelijk niet meer alleen alle beslissingen hoeft te nemen, van vele jaren ervaring kunt gebruik maken en sneller uw doel bereikt, u eindelijk een reserve voor u zelf heeft en nog veel meer… Volgens ons eigenlijk een no-brainer….maar uiteraard is het aan u. wij doen het. net als wij andere andere betaalmodellen aanbieden.Gisteren, 9 januari 2018 heeft het Raad van Discipline (tuchtrechter voor advocaten) een advocaten kantoor berispt voor het werken met als verdien model: no-cure no-pay.
Nog los van het feit dat Rob Geene, de deken van advocaten Noord Nederland die de procedure aanhangig heeft gemaakt, tezamen met de voornoemde Raad, volkomen de plank misslaat in hun bepaling dat de handelswijze van de betreffende berispte 4 advocaten, no-cure, no-pay betreft is de basis van deze regel volstrekte onzin. Wat is het oordeel. De tuchtrechter vindt dat het viertal in strijd heeft gehandeld met de 'kernwaarden onafhankelijkheid en integriteit'. Want, zo stelt de tuchtrechter, de betreffende advocaten worden (gedeeltelijk) betaald met een percentage van de, overigens nog onzekere, opbrengst die de advocaten in dit geval bij de NAM willen afdwingen. Dit, zo stelt opnieuw de tuchtrechter, betekent dat het eigen belang van de advocaat voor het belang van de client wordt gesteld. Onze samenvatting hiervan is -ronduit-: totale nonsens! Want is het niet simpelweg dat: In het algemeen (en hier ook) dat belangen juist parallel lopen? Clienten en advocaten hebben belang bij een zo hoog mogelijke opbrengst. Is dat niet juist waarom iemand een advocaat inhuurt? Ondernemerschap de advocaat prikkelt niet simpelweg uurtje factuurtje de draaien maar ook risico te lopen; de garantie voor de client dat 1. de advocaat in de zaak geloofd EN 2. de extra meters gaat lopen die nodig zijn om te winnen. Op deze wijze juist het uurtje/factuurtje principe wordt gestopt. Is het niet juist daardoor dat een advocaat extra uren schrijven belangrijker vindt dan het belang van zijn client?? (Een heel veel gehoorde klacht) en dat dit de integriteit en het belang van cleint evenmin dient. Dat deze wijze van afrekenen met clienten de gelegenheid geeft om toegang tot het rechtssysteem voor hen te verschaffen zonder enorme rekeningen te verwachten. Kortom; dat op deze wijze het rechtssysteem weer toegankelijk is voor iedereen met een "betaal achteraf" systeem? Het risico van rechtszaken aanspannen zonder een kans van winnen nog steeds kan (uurtje/factuurtje) maar dat er heel wat kansloze zaken niet meer op de rol komen? Het huidige uurtje/factuurtje systeem voor advocaten alleen goed is voor advocaten? Het beschermt de (heel veel aanwezige) mindere goden in een monopolistisch systeem; immers voor sommige zaken dient u een advocaat in te huren? Is er een systeem die dit alles omzeilt en wel een ondernemend systeem juridisch systeem faciliteert?? In plaats van het intussen naar onze mening volstrekt achterhaalde- en eerlijk gezegd niet het belang van clienten dienende systeem is er wel een systeem dat werkt zoals het zou moeten werken. De advocaat en client komen een betaalmodel overeen die hen en de juridische situatie past. Dat kan uurtje/factuurtje zijn, maar ook no-cure no-pay of een mix. Of elk andere afspraak. Wij doen dit. Lang leve de ondernemende advocaat. Hoe veel duidelijker kan het worden: Rechtsraad, entrepreneurial lawyers, ondernemend dus. Nederland Januari 2018 . Gelukkig Nieuwjaar! We worden toch meer dan moe van enkel reageren op de gebeurtenissen van het moment. De waan van de dag; is er niemand meer die tactisch en strategisch zijn/haar pad uitzet en dit gewoon volgt? Waarom kiest iemand een moreel platform om dan te naar beneden te gaan schoppen; goedkoop en smakeloos. Een voorbeeld; de opera Carmen heeft een ander einde gekregen. Dit is nodig volgens de producers van deze Italiaanse uitvoering, want het einde, wat Bizet lang geleden had bedacht, was niet meer van deze #metoo tijd.... Daar waar Carmen in het stuk door haar jaloerse Don Jose in de eind scene wordt vermoord, is het nu blijkbaar nodig om Carmen hem dood te laten schieten. Anders meld Carmen zich op Twitter by #metoo? Of wat dacht u van Zwarte Piet? Of zelf Vuurwerk afsteken. Tegenwoordig is het uitkijken; voor je het weet klimt er iemand op een moreel podium en mobiliseert een boel mede-klimmers. Die allemaal massaal gaan schreeuwen hoe braaf ze zijn.... Internet is de middeleeuwen; shaming is hetzelfde als de schandpaal. Maar allemaal zonder rechter! En als die er wel is en zegt dat je niet schuldig bent, dan muit de menigte nog iemand gewoon zijn of haar leven kapot! Gewoon omdat ze het kunnen....nietwaar Camiel? Onze wensen voor 2018: gewoon aan het werk, geld verdienen en geen aanmatigend gezeur meer van die podium klimmers. Gelukkig Nieuwjaar! The French Public Broadcasters spend huge amounts of tax payers money ( euro 138,00/person/year) on completely outdated programs for people with an average age of 60. They are paid well, too much for their efforts anyhow. And miraculously, they also, like the Dutch NPO, said they need MORE money, : "......if we want a successful renewal, we have to formulate first what we have to do in this epoch of online broadcasting internet..". Really, 15 years too late they still have to formulate their problem? And need money for that? We rest our case. In the Netherlands The Public Broadcasting Company, NPO, is by her chairman of the board, Mrs. Rijxman, said to be minimised by Google and Facebook. In her mind all advertisement spendings are now online and less, much less, spend at the public (tv) broadcasters. And she is right!
Brilliantly she added that the NPO would now triple its budget on online programs, on-demand platforms and try to get a part of the online advertisement market back. Complaining over this is typically NPO's problem. If you would have a winners mentality, a razor sharpness edge tracking your competitors, force the market by great content and many viewers to advertise with the public broadcasters, if than, only than, we would understand the fact that you have a more smaller and specific market by role. But now you simply state yourself that your are now going online....Google was founded in 1998...!!! Just look at Mr. de Mol, he is conquering it the way he should, must and can. Realistically. Mrs Rijxman; it is simple. You are too late and spend to little. Why should tax payers money be spend on arrogance, ignorance and laziness....and even more laughable the tax money of your competitors Google and Facebook. Don't make them laugh...we did! Recently trade unions in the Netherlands complained about the rights of elder employees when a company restarts after failure (bankruptcy). They even went to court in a attempt to persuade the judge to force the administrator (curator) to make sure, when offering the failed company for a restart, that the elder employees are part of the deal for the potential buyer.
They, the unions, even state that is is better arranged in other countries. Of course, with better, they mean better for their members; not better for the buyer, the creditors of the failed company or anybody involved. But is it? In France, since 2015, there is a new law in which companies don't really fail but are supposed to accept an administrator, somewhere in the middle of the American Chapter 11 and the Dutch Surseance. This French administrator will try to continue the companies operations as long as cash is available and start a selling process of the company. Everybody who is credible can make an offer on all assets of the company. But, unlike in other countries, the French turned this into a job-saver. The winner of the bidding, in practice, is the company guaranteeing as much jobs saved as possible. The bidder can't choose the employees by name; this is arranged by the administrator following the strict laws on laying off people and their rules; in France this would be that employees with the longest history at the company have most rights. Its much more complicated than this by the way... The highest bidder, knowing this, will not offer a lot of cash and with this not benefitting of the failed companys' creditors. In the Netherlands the Wwz law (2015) protects elder employees and gives them rights that make them more expensive. With this unions forced left-wing law they now shoot themselves in the foot... When a company re-starts, meaning sold by the administrator to the highest offering bidder, price will come down when the re-start costs are higher. Meaning, being forced to hire the most expensive employees the administrator will have lower bids. And less money to pay to the failed company's creditors. In pre-packs, the world is turned the other way around. The bankruptcy procedure is used the re-start. The bankruptcy is pre-cooked; everything, financials, business plan is prepared. A deal is made with the administrator and the company looks to have a slimmed down re-start and doesn't even stop doing business. But what are the basics?? Company law is in almost every country in the world based on the sole fact that a limited company is a legal person in itself. It makes agreements with other (legal) persons. In the descriptions above the problem is that the company can't no longer meet his part of the deal in these agreement; to pay for the products delivered and services rendered. In Anglo-Saxion law you would have stop this company yourself if the company would be technical bankrupt; when the assets balance is lower than the liabilities (and equity) side of the balance sheet; in the Netherlands eg. this is the case when can be proven that a company can't pay their bills anymore. (simplified for the matter of this). A bankruptcy in those cases would be that an administrator (curator) is appointed to liquidate all assets and pay the creditors with all money left. Of course there are rules; but the basic are that the creditors must be the ones to benefit of the bankruptcy proceedings. However some are protected. Think the tax office, banks in most cases and employees for not paid salaries. But all rights come from the agreements made. When a bank has more rights in a bankruptcy case it is because it leant money with a collateral right. For this reason basically... and so on. So; the bankruptcy deals only with all players and creditors of the company till the day in failed. It doesn't dictate the buyer of (mostly only) assets from the administrator what to buy and what to do with the assets. The administrator (curator) , by law, has only 1 task, to maximize the proceedings on behalf of the creditors. It is all about money and the balance sheet. SO! Never ever have an administrator (curator) run the failed business or decide on the social part- or the chances of a restart. Except it not being his job, after all that is no merely than maximizing the proceedings, most have no knowledge whatsoever of doing this. Never ever do anything that would bring the proceedings down at the cost of the creditors of the failed company. This will make any entrepreneur more anxious not to deal with another company, shorten trade credit lines and will have failed companies live longer. This extra dimension in business is most certainly not wished...as it doesn't do right to the basics of the original agreement of the creditor of the failed company. What about the employees rights The employee rights are the rights discussed in their employment agreement, backed in most countries of employment laws in place. But they shouldn't interfere with the basics as described above. They are no more than a creditor with special rights and should not have no special rights in a re-start. Also, if you are the buyer of the assets, you want the re-start to be a potential succes. And the better the start, the better the chances! Concluding When in a bankruptcy case is decided to accept less money for the creditors in return of more former employees keeping their jobs (= legally getting a new job) is, except in the France pre-pack situation, unlawful and could be for creditors a reason to go to court. Also forcing employment laws to stretch over a bankruptcy and become the inheritance of the re-starter is unlawful . Rechtsraad has experience in insolvency laws in several countries.
